Terms & Conditions
01 Business and Franchise Services
Atelier provides products, services and franchise opportunities to customers and prospective franchise partners. A franchise application, enquiry, payment or expression of interest does not by itself create a franchise relationship. A franchise relationship will arise only after the applicable documentation has been completed and accepted by Atelier and any required agreements have been duly executed.
02 Eligibility
Users must be legally capable of entering into binding contracts under the laws applicable to them. If you are accessing the website or entering into a franchise arrangement on behalf of a company, partnership or other organisation, you represent that you have authority to bind that entity.
03 Website Information and Product Details
We make reasonable efforts to ensure that product descriptions, images, specifications, pricing and other information displayed on the website are accurate and current. However, minor variations, typographical errors, availability changes and differences between displayed images and actual products may occur. Atelier reserves the right to correct errors, update information or withdraw an offering without prior notice where permitted by law.
04 Orders and Payments
Where online purchasing or payment is enabled, all orders are subject to acceptance and availability. Prices and applicable charges will be displayed at the time of purchase. Payments must be made through the payment methods made available on the website. You agree to provide complete and accurate billing and payment information. Atelier may decline, cancel or hold an order where there is a reasonable concern regarding payment, fraud, inaccurate information or availability.
05 Franchise Fees and Commercial Terms
Franchise fees, investment amounts, commercial terms, territory rights, supply arrangements, targets, support obligations and other franchise-specific conditions may vary depending on the applicable franchise proposal or agreement. Where specific commercial terms are provided in a separately executed franchise agreement, that agreement will prevail over these general website Terms to the extent of any inconsistency.
06 No Refund / Cancellation
Unless expressly stated otherwise in a written agreement, applicable offer terms or required by applicable law, payments made for products, services, franchise applications, franchise rights or related commercial arrangements are non-refundable and non-cancellable once accepted or processed. Any statutory consumer rights that cannot lawfully be excluded will remain unaffected.
07 Intellectual Property
All content on the website, including the Atelier name, logos, trademarks, graphics, photographs, text, designs, layouts, software and other materials, is owned by or licensed to Atelier and is protected by applicable intellectual-property laws. No content may be copied, reproduced, modified, distributed, republished or commercially exploited without prior written permission, except where permitted by law.
08 Franchise Brand and Marketing Usage
Franchise partners may use Atelier branding, trademarks, promotional material and other intellectual property only in accordance with the applicable franchise agreement, brand guidelines and written instructions issued by Atelier. No franchise partner receives ownership of Atelier's intellectual property merely by becoming a franchisee.
09 User Conduct
You agree not to misuse the website, attempt unauthorised access, interfere with its operation, upload malicious code, impersonate another person, submit false information, infringe intellectual-property rights, or use the website for unlawful or fraudulent purposes.
10 Third-Party Services and Links
The website may use or link to third-party payment gateways, service providers, platforms or websites. Such third parties may have their own terms and privacy policies. Atelier is not responsible for the independent acts, omissions, availability or policies of third-party services, except to the extent required by applicable law.
11 Disclaimer
To the maximum extent permitted by applicable law, the website and its content are provided on an "as available" basis. Atelier does not guarantee that the website will always be uninterrupted, error-free, secure or free from technical issues. Information provided on the website should not be treated as a guarantee of business results, profitability or return on investment from any franchise opportunity.
12 Limitation of Liability
To the maximum extent permitted by applicable law, Atelier shall not be liable for indirect, incidental, special, consequential or business losses arising from use of the website or from any transaction, except where such liability cannot legally be excluded. Nothing in these Terms is intended to exclude or limit liability that cannot be excluded or limited under applicable law.
13 Indemnity
To the extent permitted by applicable law, you agree to indemnify and hold Atelier, its owners, employees, representatives and service providers harmless from claims, losses, liabilities, damages and reasonable costs arising from your unlawful use of the website, breach of these Terms, violation of third-party rights, or misuse of Atelier's intellectual property.
14 Privacy and Personal Information
Atelier may collect and process information submitted through the website for purposes such as processing orders, communicating with users, providing services, evaluating franchise enquiries, customer support, compliance and business operations. Personal information will be handled in accordance with Atelier's applicable Privacy Policy and relevant data-protection laws.
15 Geographic Scope and International Transactions
Atelier may operate, market or provide franchise-related opportunities in India and Far East Asian markets. Specific availability, pricing, taxes, import/export requirements, licensing, regulatory approvals, currency, shipping and other commercial conditions may differ by country or territory. Users and franchise partners are responsible for complying with laws applicable to their location unless a written agreement expressly allocates such responsibility differently.
16 Changes to These Terms
Atelier may amend or update these Terms from time to time. Updated Terms may be posted on the website with a revised effective date. Continued use of the website after an update constitutes acceptance of the revised Terms, to the extent permitted by law.
17 Suspension or Termination
Atelier may suspend or restrict access to the website or terminate access where reasonably necessary due to misuse, unlawful activity, security concerns, breach of these Terms, non-payment or other legitimate business reasons. Termination of website access does not automatically terminate rights or obligations under a separately executed franchise or commercial agreement.
18 Governing Law and Dispute Resolution
These Terms shall be governed by the laws of India, unless a separately executed agreement applicable to a specific transaction provides otherwise. Any dispute relating to these Terms or use of the website shall be subject to the jurisdiction of the competent courts in India, subject to any mandatory rights or jurisdictional requirements applicable to the relevant user or transaction.
19 Severability
If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision shall be modified or severed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
20 Entire Understanding
These Terms constitute the general terms applicable to use of the website. Specific orders, franchise proposals, commercial documents, franchise agreements or other written contracts may contain additional terms. In the event of a conflict, the specific executed agreement will generally prevail for the subject matter it governs.
