These General Terms & Conditions ("Terms") govern your access to and use of the ATELIER website, including its live-streaming services, product catalogue, live product demonstrations, ordering facilities, recorded stream highlights, communication features and other services made available through the platform. By accessing, browsing, registering on, participating in a live stream, communicating through the platform, placing an order or otherwise using the website, you acknowledge that you have read, understood and agreed to these Terms. If you do not agree with these Terms, you should not use the website or its services.

01 Nature of the Platform

ATELIER is a verified live-commerce and wholesale platform designed to connect eligible buyers with manufacturers, wholesalers, suppliers and other approved businesses. The platform may provide:

  • Live product demonstrations and real-time product presentations
  • Product catalogues, bulk and wholesale ordering, MOQ information
  • Live comments and interaction, product screenshots or references
  • Recorded stream highlights and order-related communication
  • Business and seller verification, and other features introduced by ATELIER from time to time

ATELIER primarily acts as a digital platform for facilitating interaction and commerce between approved businesses and sellers. Unless expressly stated otherwise, ATELIER does not manufacture, own, inspect, stock, package or directly sell every product displayed through the platform.

02 Eligibility and Business Users

Use of the platform is intended primarily for businesses, entrepreneurs, wholesalers, retailers, distributors and other persons or entities participating in commercial transactions. Users must be legally capable of entering into binding contracts under the laws applicable to them. Where a user accesses or uses the platform on behalf of an organisation, that user represents that they have the authority to act on its behalf.

ATELIER may restrict, reject or suspend registrations where submitted information cannot be reasonably verified or where restriction is necessary for platform security or legitimate business reasons.

03 Registration and Account Verification

Certain features may require registration and verification. Users may be required to provide information such as name, mobile number, email address, business details, business registration information, GST or other applicable identification details, address, and other information reasonably required for verification.

Users are responsible for ensuring all submitted information is accurate, complete and current. ATELIER may review submitted information and documents before approving access to certain features. Approval of an account does not guarantee the financial standing, performance, quality or reliability of any other user or seller.

04 Account Credentials and Security

Where ATELIER provides login credentials, verification codes, passwords or other access credentials, users are responsible for maintaining their confidentiality. Users must not:

  • Share login credentials with unauthorised persons
  • Allow another person to misuse their account
  • Attempt to access another user's account
  • Circumvent account verification or security measures
  • Use false or misleading account information

Users should immediately inform ATELIER if they reasonably believe their account or credentials have been compromised. ATELIER may suspend or restrict an account where there is reasonable concern regarding unauthorised access, fraud, misuse or security.

05 Live Streams and Product Demonstrations

ATELIER may provide live product demonstrations conducted by manufacturers, wholesalers, suppliers or other approved sellers. Information presented may include product specifications, pricing, quantities, colours, models, features, demonstrations, availability and other commercial information.

Live-stream content may change or become unavailable without prior notice due to technical problems, seller requirements, product availability, scheduling changes or other circumstances. ATELIER does not guarantee that every live stream will be available continuously or without interruption.

06 Product Information and Pricing

ATELIER makes reasonable efforts to display product information accurately. However, product descriptions, images, specifications, colours, dimensions, quantities, pricing, MOQ requirements and availability may change. Products shown during live streams or recorded highlights may differ slightly from actual products due to lighting, camera quality, screen settings, manufacturing variations or other factors.

Prices, discounts, MOQs and other commercial terms communicated during a live stream may be subject to confirmation by the respective seller. The final commercial terms applicable to an order shall be those confirmed by the seller and/or ATELIER through the applicable ordering or communication process.

07 Bulk Orders and Minimum Order Quantity

ATELIER is designed to support wholesale and bulk purchasing. Products may have a specified Minimum Order Quantity ("MOQ"). Users are responsible for reviewing the applicable MOQ before placing an order. An order request that does not satisfy the applicable MOQ may be rejected, modified or require further confirmation from the seller.

ATELIER may display MOQ information on product listings or during live streams; however, users should confirm the final quantity and commercial terms before completing a transaction.

08 Order Placement

Orders may be initiated through the ordering features on the website or through other designated communication channels, including WhatsApp or other channels specified by ATELIER. Depending on the applicable product or stream, users may be required to provide product identification or screenshot, required quantity, product variation or model, delivery details, contact information, and additional remarks or requirements.

Submitting an order request does not automatically mean the order has been accepted. An order shall be considered confirmed only after the applicable seller and/or ATELIER confirms the order and applicable commercial terms.

09 Order Confirmation and Availability

All orders are subject to product availability and seller confirmation. ATELIER or the respective seller may decline, modify, delay or cancel an order where:

  • The product or required quantity is unavailable, or MOQ is not met
  • Pricing or product information was incorrectly displayed
  • Payment cannot be verified, or delivery cannot reasonably be arranged
  • There is a suspected fraudulent or unauthorised transaction
  • Incorrect or incomplete information has been provided
  • Other legitimate commercial or operational circumstances arise

Where applicable, the user will be informed of material changes to the order.

10 Payments

Where online payment facilities are made available, payments must be completed using the payment methods supported by ATELIER or the applicable payment service provider. Users agree to provide accurate payment and billing information. Payment confirmation does not necessarily constitute final order acceptance where the order remains subject to product availability or seller confirmation. Payment-related information may be processed by third-party payment service providers in accordance with their applicable terms and privacy policies.

11 Cancellation, Returns and Refunds

Cancellation, return and refund conditions may vary depending on the product, seller, transaction and applicable commercial terms. Where a specific product or seller provides a separate cancellation, return or refund policy, that policy may apply to the relevant transaction.

Unless expressly stated otherwise or required by applicable law, an order that has been confirmed, processed, dispatched or otherwise committed by the seller may not be cancelled. Where a refund is approved, the applicable amount and processing timeline will depend on the circumstances of the transaction and the payment method used. Nothing in these Terms is intended to remove or restrict any consumer or statutory rights that cannot legally be excluded.

12 Seller Responsibility

Products offered through ATELIER may be supplied by independent manufacturers, wholesalers, suppliers or other sellers. The respective seller is responsible for matters relating to its products, including product quality, authenticity, specifications, manufacturing, packaging, inventory, pricing, order fulfilment, dispatch, shipping, warranties, product-specific returns or replacements, and compliance with applicable product laws and regulations.

ATELIER may facilitate communication and transactions but does not guarantee the performance of an independent seller unless expressly stated otherwise.

13 Delivery and Shipping

Delivery arrangements may vary depending on the seller, product, destination, quantity and applicable commercial terms. Delivery timelines provided on the platform or during a live stream are estimates unless expressly confirmed as guaranteed. Delays may occur due to logistics providers, transportation issues, weather, customs, regulatory requirements, force majeure events or circumstances outside ATELIER's reasonable control.

Users are responsible for providing accurate delivery information. For international transactions, additional customs duties, import requirements, taxes, documentation or other charges may apply unless otherwise agreed in writing.

14 Live Chat, Comments and User Interaction

ATELIER may allow users to interact through live comments, chat, questions or other communication features. Users must ensure their communications are lawful and respectful, and must not post or transmit abusive or threatening content, hate speech, false or misleading information, spam, unauthorised advertisements, malicious links or code, content infringing third-party rights, fraudulent offers, or content that violates applicable law.

ATELIER may remove content, restrict chat access or suspend accounts where necessary to protect the platform and its users.

15 Recorded Streams and Highlights

ATELIER may retain, record, edit, display or make available completed live streams as highlights or recorded content, allowing users to review products and demonstrations after a live session. ATELIER may remove, modify, restrict or discontinue access to recorded content at any time. Availability of a recorded stream does not guarantee that the products, prices, quantities or offers shown in that recording remain available.

16 Intellectual Property

All intellectual property on the ATELIER platform — including its name and branding, logos, trademarks, website design, graphics, photographs, videos, live-stream recordings, text, product presentation formats, software, layouts and platform features — is owned by ATELIER, its licensors or the relevant rights holders and is protected under applicable intellectual-property laws.

Users may access and use the content only for legitimate use of the platform. No user may copy, reproduce, modify, distribute, republish, sell, commercially exploit or create derivative works from ATELIER's proprietary content without prior written permission, except where permitted by applicable law.

17 Seller Content and Product Materials

Sellers may provide product photographs, videos, descriptions, specifications, trademarks and other materials for display on the platform. The respective seller remains responsible for ensuring it has the necessary rights and permissions to provide such content. By providing content to ATELIER for platform use, the seller grants ATELIER the necessary permission to display, reproduce and use that content for operating, promoting and facilitating the platform, subject to applicable agreements.

18 Prohibited Activities

Users must not use ATELIER for unlawful, fraudulent or unauthorised activities. Users must not:

  1. Provide false business or personal information
  2. Impersonate another person or business
  3. Create multiple accounts to circumvent platform restrictions
  4. Attempt unauthorised access to the website or its systems
  5. Interfere with website functionality or security
  6. Upload malicious software or harmful code
  7. Scrape or systematically copy platform content without permission
  8. Misuse another user's information
  9. Conduct fraudulent transactions
  10. Infringe intellectual-property rights
  11. Use the platform for illegal activities
  12. Attempt to manipulate orders, pricing, ratings, comments or platform functionality

ATELIER reserves the right to take appropriate action where prohibited conduct is identified.

19 Third-Party Services

ATELIER may integrate or provide access to third-party services such as payment gateways, WhatsApp or communication services, hosting providers, video-streaming services, logistics providers, email providers, analytics services and other technology providers. Third-party services may operate under their own terms and privacy policies. ATELIER is not responsible for the independent operation, availability, policies or acts of third-party service providers, except to the extent required by applicable law.

20 Website Availability and Technical Issues

ATELIER aims to maintain a reliable platform but does not guarantee that the website, live streams, videos, ordering facilities or other features will always be available, uninterrupted, secure or error-free. Temporary interruptions may occur due to server issues, internet connectivity, maintenance, software updates, technical failures, cybersecurity incidents, third-party service interruptions, force majeure events or other circumstances beyond ATELIER's reasonable control. ATELIER may temporarily suspend or modify any feature where reasonably necessary.

21 No Guarantee of Business Results

Participation in the platform, access to live streams, purchase of products or interaction with sellers does not guarantee any particular business result, sales volume, profit, return on investment or commercial outcome. Users are responsible for independently evaluating products, prices, suppliers, business opportunities and transaction terms before making commercial decisions.

22 Limitation of Liability

To the maximum extent permitted by applicable law, ATELIER shall not be liable for indirect, incidental, special, consequential or business losses arising from use or inability to use the website, temporary platform interruptions, seller conduct, product quality or performance, delivery delays, third-party services, business losses, loss of profits, loss of data, or transactions between users and sellers. Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

23 Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless ATELIER, Artyscape, its owners, employees, representatives, affiliates and service providers from claims, losses, liabilities, damages and reasonable costs arising from your breach of these Terms, unlawful use of the platform, fraudulent or misleading information submitted by you, violation of third-party rights, misuse of ATELIER's intellectual property, violation of applicable laws, or unauthorised use of another person's account or information.

24 Privacy and Personal Information

ATELIER may collect and process information provided by users for purposes including account registration, user verification, order processing, communication, customer support, live-stream participation, business enquiries, platform security, fraud prevention, legal and regulatory compliance, platform improvement and business operations. Personal information will be handled in accordance with ATELIER's applicable Privacy Policy and relevant data-protection laws. Users should review the Privacy Policy before submitting personal or business information.

25 Geographic Scope and International Transactions

ATELIER may provide services to users and businesses in India and selected Far East Asian markets. Product availability, pricing, taxation, shipping, import and export requirements, customs procedures, licences, regulatory requirements, payment methods and other commercial conditions may vary by country. Users participating in international transactions are responsible for complying with applicable laws and requirements in their respective jurisdictions, unless a written agreement expressly provides otherwise.

26 Suspension or Termination

ATELIER may suspend, restrict or terminate a user's access to the platform where reasonably necessary due to violation of these Terms, fraudulent activity, misuse of the platform, security concerns, unauthorised access, false information, non-payment, illegal activity, abuse of other users, or other legitimate operational or business reasons. Termination or suspension of an account does not automatically cancel obligations relating to transactions already completed or otherwise legally binding.

27 Changes to the Platform

ATELIER may introduce, modify, suspend or discontinue features, services, live-stream formats, ordering methods, product categories or other aspects of the platform from time to time, and may also update these Terms when necessary. Updated Terms may be published on the website with a revised effective date. Continued use of the platform after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.

28 Governing Law and Dispute Resolution

These Terms shall be governed by and interpreted in accordance with the laws of India, unless a separate written agreement applicable to a specific transaction provides otherwise. Any dispute arising from or relating to these Terms or use of the ATELIER platform shall be subject to the jurisdiction of the competent courts in India, subject to any mandatory legal rights or jurisdictional requirements applicable to the relevant user or transaction. Where appropriate, ATELIER may first attempt to resolve disputes through good-faith communication before formal proceedings are initiated.

29 Severability

If any provision of these Terms is determined to be invalid, unlawful or unenforceable, that provision shall be modified or removed to the minimum extent necessary. The remaining provisions shall continue to remain valid and enforceable.

30 Entire Understanding

These Terms constitute the general terms governing use of the ATELIER platform. Specific product terms, seller terms, order confirmations, payment terms, commercial arrangements or other written agreements may contain additional conditions. Where a specific written agreement directly conflicts with these general Terms, the specific agreement shall prevail for the subject matter covered by that agreement, to the extent permitted by applicable law.
